Separate the different layers of ownership
Define rights over background know-how, customer-funded modifications, brand assets, testing data and technical documents. Specify rights to use, modify or transfer each layer where relevant.
Define customer protection with a workable scope
If a partner introduces an importer, distributor or strategic account, non-circumvention terms may be appropriate. The protected customer, territory, duration and pre-existing relationships should be clearly defined.
Make confidentiality operational
An NDA is only the legal layer. Day-to-day controls should address who receives formulas, artwork, pricing and customer data; how files are shared; and what third parties actually need to see.
Use disciplined document control
Version names, approval status and access controls improve both confidentiality and project control. They also reduce the risk of an outdated formula or artwork being used accidentally.
Agree on issue and dispute mechanisms in advance
Product liability, recall, quality complaints, labeling errors and delivery issues should have agreed notification, investigation, corrective-action and dispute-resolution processes.
Commercial trust is stronger when ownership, confidentiality and customer protection are explicit before sensitive information and meaningful revenue are involved.
